GREATER VOTING REQUIREMENTS UNDER CERTIFICATE OF FORMATION.

If the corporation's certificate of formation requires the vote or concurrence of a greater proportion of the members of a corporation than is required by this chapter with respect to an action to be taken by the members, the certificate of formation controls.
